Common License Elements

Licenser/Licensee
Who owns the copyright (licenser) and who is going to use the copyrighted material?

Description of relationship
What is the relationship between the licenser/licensee vis-a-vis the licensed work? 

Description of work
Outlines exactly what is being licensed.

Time period
Limits the terms of the license to a specific time period.

Media
Limits the use of the copyrighted material to specific formats.

Physical/Digital
Limits the use of the copyrighted material to physical or digital formats, or allows both.

Attribution
Specifies whether the licensee needs to state information about the creator and/or licenser when they use the copyrighted material, and how the attribution will be given.

Placement
Limits the use of the copyrighted material to specific areas of a magazine, website, or other larger medium in which it will be included.

Size
Limits the use of the copyrighted material to specific dimensions.

Quantity
Limits how many copies of the copyrighted material can be reproduced or how many times it can be used within a larger medium, like a website.

Territory
Limits the use of the copyrighted material to specific areas of the world.

Delivery format and access to the work
How will the item be delivered to the licensee? Will they be able to get further copies? Derivations?

Exclusivity
Limits how the licenser can use the copyrighted material while the contract is in effect. May refer to geography, time, media or physical/digital. 

Transferability
Can the licensee transfer the terms of use to someone else?

Warranties
A promise made by the licenser that the contract will be fulfilled.

Indemnity and limitation of liability
Guarantees made in specific circumstances, and limiting what those circumstances can include. 

Special restrictions
Anything not covered above that is important to the licenser or licensee.
